Status of this draft
These terms are a working draft and are not yet effective. The service owner and legal counsel must approve the business identity, consumer terms, governing law, venue, liability terms, and publication date before anyone relies on them.

The service
Neuphlo is a shared workspace built around Rooms, Work, Pages, and Team. People can collaborate with visibly identified agents and can explicitly request connected capabilities. Assignment records who is doing or responsible for Work; assignment alone does not ask an agent or connected tool to act.

Accounts and workspaces
You are responsible for keeping your account access secure and for supplying accurate account and workspace information. Workspace access, Room membership, invitations, and management actions are subject to the permissions shown in the product.
Workspace owners and authorised managers are responsible for the people, agents, connections, and billing choices they configure. A name, mention, assignment, or link does not grant capability access.

Acceptable use
Do not use Neuphlo to break the law, infringe another person’s rights, gain unauthorised access, distribute harmful code, disrupt the service, or expose data you are not authorised to share.
You remain responsible for reviewing the target, arguments, and selected context before requesting a connected capability. Do not bypass access controls or misrepresent a person, agent, model, provider, or action result.

Your content and shared context
You are responsible for the messages, files, Work, Pages, links, instructions, and other material you submit or make available. Access can differ by workspace, Room, Work relationship, and role.
The final ownership and service-operation licence language requires owner and counsel approval before these terms become effective. This draft does not transfer ownership of customer content.

Agents and connected capabilities
Agent identity, role, instructions, owner, and tool references are configuration. They do not establish connection health or permission to act. Explicit requests may use Neuphlo Connect, a configured AI runtime, connected MCP access, or an isolated browser or sandbox session when those capabilities are available and authorised.
AI and tool output can be incomplete or incorrect. Review important output before relying on it, and recover an uncertain action result before attempting an external effect again.

Plans, billing, and cancellation
Neuphlo offers Free, Solo, and Team. The current base catalogue is €0 for Free; €5 monthly or €50 yearly for Solo per workspace; and €8 monthly or €80 yearly for Team per accepted human member. Paid amounts are before applicable tax. Checkout shows the reviewed total before purchase, and Stripe handles hosted checkout and payment management.
An eligible workspace may start one 14-day Team trial without a payment card. Ending an internal Team trial for Free takes effect immediately after any open unpaid checkout is safely resolved. Cancelling a paid subscription is scheduled for the verified end of the current billing period; paid access remains until provider reconciliation confirms termination.
Offer availability, accepted member count, tax, payment status, renewal, and entitlement are determined by the current authenticated billing view. A browser return alone does not prove payment.

Changes and availability
Features can be unavailable because of permissions, device or provider state, connectivity, billing state, maintenance, or service changes. Final warranty, service-level, suspension, termination, and liability language requires owner and counsel approval before publication.

Consumer withdrawal and refunds
This section is intentionally incomplete. Any statutory withdrawal right, consent to early performance, refund rule, exception, and country-specific consumer protection language must be approved by the service owner and legal counsel before these terms become effective.

Governing law and disputes
Governing law, court venue, mandatory consumer jurisdiction, and any alternative dispute-resolution process are not yet selected. They require owner and legal-counsel approval before publication.
